Mergers & Acquisitions

We are a boutique with deep M&A experience. Our attorneys handle domestic and cross-border transactions across a range of industries, representing buyers and sellers in stock deals, asset deals, mergers and business combinations ranging from a few million to several hundred million dollars.

Our typical clients include middle-market private companies and private equity funds. We also guide first-time sellers and family-run businesses through the sale process.

Services we provide include letter of intent negotiation, due diligence, deal structuring, tax analysis, definitive agreement negotiation, closing execution and post-closing integration.

Investment Management

We represent managers of private equity and venture capital funds in fund formation, private offerings, portfolio acquisitions and dispositions, and general administration. We also represent institutional investors, including public pension funds, in all aspects of their investment activity, including private equity, private credit and other alternative investments, managed accounts and consultant relationships.
