Jake is a transactional attorney licensed in California and Oregon whose practice spans real estate, land use, mergers and acquisitions, and intellectual property considerations. He represents businesses, investors, and entrepreneurs in complex deals and provides ongoing counsel on operational, regulatory, and strategic matters.
Jake serves as outside counsel to a diverse range of clients, from early-stage founders to established real estate professionals, advising on commercial contracts, intellectual property protection and licensing, and day-to-day legal needs. His real estate practice encompasses acquisitions and dispositions, commercial and residential leasing, financing, and syndication, with particular depth in boutique hospitality development, permitting strategy, and high-net-worth portfolio management.
Rooted in an economics background, Jake brings a practical, analytical approach to every engagement, helping clients navigate complex deals with clarity and confidence.
Representative Matters
M&A
- Transactional counsel on an average of $200M+ in M&A closings annually, representing buyers, sellers, and investors across SaaS, technology, and operating company transactions.
Leasing
- Represent landlords as leasing counsel across a portfolio of 10+ anchored shopping centers, advising on lease negotiation, rent structures, co-tenancy provisions, and dispute resolution.
Real Estate
- Advised on $100M+ in commercial and residential real estate purchases and sales, representing investors, family limited partnerships, and high-net-worth individuals on due diligence, title, financing, and closing, in addition to easement agreements, water use agreements, and land use considerations.
Hospitality Growth Financing
- Represented an international hotel group in a growth financing and secondary sale, advising on deal structure, equity terms, and investor documentation through closing.
Boutique Hospitality
- Serve as ongoing transactional counsel to a Southern California boutique hospitality group on a series of asset-level financing transactions. Matters have included the sale of a fee interest with a simultaneous leaseback and option to repurchase structure used to unlock liquidity while preserving long-term operational control.
PE Acquisition & Financing
- Represented a private equity client in a multi-entity acquisition, roll-up, and mezzanine financing transaction, advising on deal structure, due diligence, credit documentation, and intercreditor arrangements.
