About Russell
Russell Terry's practice focuses on emerging companies and venture capital, mergers and acquisitions, institutional investments, and business ventures.
Russell represents startups at every stage, from formation through financing to exit, and counsels them on operational matters such as equity incentive plans, strategic relationships, commercial contracts, and non-traditional financing. He regularly handles financing rounds, both convertible and priced, led by major venture capital firms, helping companies raise capital and scale.
On the M&A side, Russell represents mature companies being bought and sold by strategic and financial buyers. He has advised on scores of M&A transactions, including many valued at more than $100 million, and guides clients through both the legal negotiation and the logistics of getting a deal closed efficiently.
Russell also maintains an extensive investment management practice, advising public pension funds across a broad range of investment activities, including investments in private equity funds, private credit funds, real estate funds, and managed accounts, as well as related state and local compliance.
Before joining Reicker Pfau, Russell practiced at Foster Garvey PC in Seattle and Perkins Coie in Portland.

- Represented One River Digital Asset Management, a cryptocurrency investment management company, in $41m Series A Financing led by Coinbase Ventures and Goldman Sachs
- Represented ParentSquare in significant growth capital transaction with Serent Capital

- Represented Sonatech, a sonar technology company, in sale to Kongsberg Discovery
- Represented One River Digital Asset Management in sale to Coinbase Global, Inc.
- Represented specialty chemical company in $286m sale of controlling interest to financial buyer
- Represented LungLife AI, a biotech company, in its admission to the AIM market of The London Stock Exchange and related $23.4m financing
- Represented Pacific Design Technologies, an aerospace company, in $125m equity sale to AMETEK, Inc.
- Represented SaaS legal tech company in $51m equity sale to strategic buyer
- Represented agricultural company in $51m ESOP transaction
