About Fernando
Fernando Velez, Jr. is a transactional attorney whose practice centers on mergers and acquisitions, venture capital, and corporate and securities matters. He represents companies through later-stage growth, financing, and the exit.
Fernando's M&A practice runs both buy-side and sell-side, representing strategic and financial buyers and sellers in stock deals, asset deals, mergers, and business combinations ranging from small commercial arrangements to billion-dollar acquisitions. On the capital side, he handles public and private securities offerings, including private placements with venture firms, angel investors, and strategic partners.
Fernando also represents clients in real estate transactions, including commercial property and land acquisitions and commercial leasing.
Earlier in his career, Fernando practiced both in private law firms and in-house, and the in-house chapter shapes how he counsels clients today. As corporate counsel and corporate secretary to Fidelity National Financial (NYSE: FNF) and its two majority-owned public subsidiaries, Fidelity National Information Solutions (Nasdaq: FNIS) and American National Financial (Nasdaq: ANFI), he handled all securities matters, mergers and acquisitions, and legal compliance across hundreds of subsidiaries in all fifty states. He reads a transaction the way the client lives it, not only the way the documents describe it.
Fernando is an active member of the Santa Barbara community. His leadership roles have included the Board of Directors of the Scholarship Foundation of Santa Barbara, the Board of Trustees of Bishop Diego High School, and the Pastoral Council at St. Barbara's Parish at the Old Mission.

- Represented a foreign owner with regard to the reorganization of its U.S. subsidiaries
- Represented minority shareholders in sale of defense tech startup to a private equity fund
- Represented the foreign public acquiror of a U.S. business from its private shareholders
- Represented an ed Tech start up with in initial formation and SAFE capital raise
- Represented the sellers of Build.io to &ai, Inc., a Japanese multinational
- Represented a venture debt fund in its initial $100 million offering, venture lending, borrower management, and close out of fund
- Represented a distillery in connection with its Series A Offering
- Represented a private equity fund in its initial $50 million offering
- Represented the acquirer in the purchase of the assets of a real estate services provider
- Represented a venture fund in connection with its capital raise, its subsequent acquisition of 7 SaaS providers, and then sale of same to close out fund
- Represented Title365, Inc. in its sale to Nationstar Holdings, Inc. (NYSE: NSM)
- Represented the issuer in connection with the offering of Series B nonparticipating preferred stock
- Represented the acquirer of the assets of Earth Class Mail, Inc. in a sale effected through Bankruptcy
- Represented a private investor in its acquisition and combination of several SaaS providers, and then subsequent sale of the combined businesses to Rackspace, Inc. (NYSE: RAX)
- Represented Real Estate Digital, LLC in its sale to Nationstar Holdings, Inc. (NYSE: NSM)
- Represented acquirer in a management buyout of LPS RE Solutions from Lender Processing Services, Inc. (now Black Knight Financial Services (NYSE: BKFS))
